A&AP Software Terms
Version dated October 18, 2026 (b). Accepted on the order's form. No signature page.
Dated copies: October 18, 2026 (b) · October 18, 2026 · October 13, 2026. Each dated copy stays available; the current terms show the latest version.
This is software. You inspect, pick the comparables, and make every appraisal decision on the order's form and in TOTAL. The software assembles the report from your answers, files, public records, and market data under your authorized access, and puts it back in your folder for you to review and sign. We check assembly against your sources and instructions. No one at A&AP provides appraisal judgment, professional appraisal review, or appraisal advice in this lane.
In these terms, "we" and "A&AP" mean M ROTH SOFTWARE CONSULTING LLC. These terms apply only to a self-service order expressly accepted with that company, where neither our people nor our software makes any appraisal judgment call. If you want an appraiser in the reviewer seat instead, that is the separate A&AP Service Terms, run by Appraisal Partners of Texas, Inc.
Accept on your order's form
Every order has its own form. Each stage has a small terms line naming its action:
By tapping Ready, sending answers, approving, or requesting a change on your order's form, you accept our terms and the price and day on file, if any.
Your first customer action records acceptance of the terms version and frozen dated copy linked from the form, with the price and ready day on file, if any. Later actions do not overwrite that first acceptance; accepting a newer linked version adds a new entry. You accept as the customer appraiser, with authority for your firm if applicable. A desk tap or silence is not your acceptance. The form records which emailed link was used when it is opened. An acceptance records your recipient tag, the time, the action, the terms version and frozen URL, and the price and ready day on file, if any. It does not collect your IP address.
Before sending files, you must have authority to share them with us and our providers. At READY, you confirm that you are the appraiser of record, hold a current credential in good standing for this assignment and state, and are competent in the property and market. Your client and any lender/AMC requirements must permit the agreed software preparation, AI use, and data sharing. Provide required written approvals and any restrictions on subcontracting, processing location, or source-data use. MLS or data access must be yours to authorize, for this order only.
A Yes answer does not override a restriction. We do not begin prohibited work or sharing without authorization. Tell us promptly if permission or your authority changes.
Production starts only after your Ready submission and the required files and permissions are in place. Before delivery, you must submit every judgment required by the order: quality and condition ratings, adjustments, value, and all other final questions on the form. Your submissions and acceptance stay in the order record.
1. What the software does, and what it never does
The software fills the facts and the arithmetic: property data, market data, exhibits, your comparables, your adjustments applied to your numbers, and draft text built from your inspection and your sources. It enters your documented decisions; it never chooses comparables, ratings, rates, weights, assumptions, repair costs, rents, values, or other appraisal conclusions, or preselects your answer. Your later approval of a conclusion chosen here does not make it your supplied decision. A blank stays blank and comes back to you as a question. Your value is entered exactly as you give it.
You are the appraiser of record. You inspect, decide, review every page, sign, and deliver. What the software assembles is information for you to evaluate, not an opinion. A&AP and Matthew Roth do not develop or professionally review the appraisal, advise on any appraisal call, or contact your client in this lane. They are not identified as appraisal assistants when they provided no such assistance. Keep truthful technology disclosures and identification of your actual assistants in the report. A&AP is not an appraiser and not an appraisal management company. FHA, VA, and USDA orders are not accepted in this lane.
2. Support
Support covers the software: how to use the form, your files and data, errors, and anything the build got wrong against your files or answers. Those corrections are free and take priority.
A question about the report is answered by what the report says and where each number came from, never by what it should say. If you want an appraiser to review the report or weigh in on a call, that is a different service: we first obtain your acceptance of the reviewed lane's scope, provider, price, and Service Terms, where state law and your client permit it. We do not do that review inside a self-service order, on a call or otherwise.
3. Your files, our providers, and confidentiality
Your report and workfile are yours. When the report comes back, its Workfile holds the support bundle (sources, market data, tables, photos, records) and a dated copy of your form answers at every READY, NEEDS CHANGE, and DONE. We keep the confidential work record, support, instructions, permissions, and accepted terms and history for at least five years after preparation, longer when legally required. We provide a copy within five business days of request, even after service ends or the form closes. Keep your final signed report and required workfile. Third-party source material remains subject to its owners' rights and permitted uses.
Here is the setup, so you know it before your first order:
- Where the files live. Your order folder is in Google Drive under our Google Workspace business account. The report itself is a TOTAL file from a la mode, the software your report already runs in.
- Who processes them. AI providers process order material to build the draft. We may change providers as tools improve. Paid accounts run under standard published terms, which may be consumer terms; we do not promise a negotiated data agreement.
- Data use. Optional model training stays off. We do not submit your material for training, feedback, unrelated products, or another customer's work. Provider retention, safety-review, and legal-disclosure terms still apply. We read the order's documents, our reference material, and your customer profile as needed for the order, support, security, and records. Send only needed personal information; we minimize and protect it.
- Changes. We give written notice before a material provider or data-handling change and obtain any required new permission before using it for your order.
We use your order's information only for the order, support, security, and required records. We protect it with reasonable safeguards and do not sell it or solicit your client. Sharing is limited to authorized people and providers for this work, your permission, or legal requirements; those we engage must follow appropriate confidentiality and safeguards. We notify you without undue delay of unauthorized access affecting your information, provide updates, and make legally required notices. Our nonpublic software and process remain ours.
4. Price, changes, and revisions
The price is per order, as quoted when the order is confirmed, and does not change. Each order has its own invoice with a PayPal payment link. Card payments carry a 3% processing fee only where applicable law and payment-provider rules permit; any fee and the total are shown before READY. Payment is due within 15 days unless the order's form states an earlier payment-before-release condition. When the form says payment is due, your file follows payment. There is no subscription, minimum, or long-term commitment. You may cancel before production starts at no charge. After it starts, we may charge only for completed work, never more than the accepted fee.
Request changes through the form. Corrections and revisions within the agreed assignment are free and take priority, including one extra comp each time a revision comes back. Additional comps or materially new work are quoted and accepted before they begin. You supply any new appraisal decisions. If we cannot correct an item expressly included in the scope, that order's fee is waived or refunded if already paid.
The form sets this order's agreed ready day. Missing files, changed instructions, or service interruptions may require a new day, which we explain and agree with you on the form. We do not guarantee a loan closing.
5. Responsibility, liability, and disputes
A&AP is responsible for the software filling the report correctly from your files and answers. You remain responsible for the inspection, the analysis and conclusions, the review of every page, the certification, the signature, delivery, and your professional obligations to your client and regulator.
Our draft and work are for the signing appraiser only. No lender, AMC, borrower, client, or other person may rely on them as a completed appraisal or our opinion, or claim rights under these terms. This does not restrict lawful use of your signed appraisal or remove legal duties.
Beyond the work and correction commitments stated here, we give no other warranty, express or implied, to the extent permitted by law. We do not promise error-free automated output, any value, contract price, or loan result, or acceptance by a lender, AMC, client, UCDP, EAD, or other review system. We do not make unsupported changes to achieve a requested result.
A&AP's total liability for an order is limited to three times that order's price. Neither side is liable to the other for consequential, incidental, or punitive damages or lost profits. These limits apply only to claims between the parties and only as permitted by law. They do not waive professional or regulatory duties, mandatory remedies, or liability for fraud, willful misconduct, or gross negligence.
You reimburse reasonable third-party claim costs caused by your knowing, material misrepresentation about client or engagement permission, state authority, required supervision, or decisions and disclosures in your signed report. This does not cover our fault. We notify you promptly, allow reasonable participation in the defense, and obtain your consent before a settlement imposes obligations on you.
Texas law governs this agreement, subject to mandatory laws that apply to the property, professional work, or information involved. We first try to resolve any disagreement directly. An unresolved dispute goes to binding arbitration in Collin County, Texas, with small claims court available where applicable. If one provision cannot be enforced, the rest remain effective. These terms, the order's quoted price, and the order's form with its acceptance record are the entire agreement for that order. Changes require written acceptance by both sides, including by email. A later version applies only to newly accepted orders whose form links it, and does not change an existing order unless both sides agree. Every dated version stays readable at its own address. An expressly agreed order-specific addendum controls a conflict with these standard terms. Either side may end future service by email; accepted orders and record-access duties remain governed by their accepted terms.
